Draft for review. Not yet legal advice. This document is being reviewed by counsel before Labsynk handles real patient data. Your signed agreement with Mudeer Technologies takes precedence over this page.

01Agreeing to these terms

Labsynk is provided by Mudeer Technologies Ltd ("Labsynk", "we", "us"). By using Labsynk you agree to these terms and to our Privacy Policy. If you use Labsynk for a facility, you confirm you are allowed to accept these terms for it.

02Medical disclaimer

Labsynk supports clinical care and does not replace professional medical judgement. In an emergency, go to the nearest hospital.

Clinical responsibility stays with qualified health professionals. Facilities and their staff are responsible for the care they give, for the accuracy of what they record, and for checking any information, alert or AI suggestion before acting on it.

Labsynk AI produces drafts and suggestions for review. It does not diagnose, prescribe or make medical decisions. Drug-interaction warnings, risk alerts and plain-language explanations of results are aids, not advice. Patients should talk to a clinician about their health.

03Accounts

Keep your sign-in details private and tell us straight away if you think someone else has used your account. Facilities are responsible for who they give accounts to, for giving each person the right role, and for removing access when someone leaves.

04Acceptable use

You must not:

  • Open a patient's record without a legitimate care or administrative reason, or misuse emergency access.
  • Record information you know to be false, or impersonate another person or facility.
  • Share sign-in details or let unauthorised people use your account.
  • Try to get around security, access controls or access logs, or probe the service for weaknesses without our written permission.
  • Copy, scrape or resell the service or other people's data.
  • Upload malicious code, or use Labsynk in a way that breaks the law or harms other users.

We may suspend access that puts patients, facilities or the service at risk, and will tell you why when we can.

05Facility data and patient data

Facilities keep ownership of the records they create, and patients keep their rights over their own information. We use that data only to provide Labsynk, as set out in the Privacy Policy and the facility's agreement. When a facility leaves, we help it export its records.

06Availability and changes

We work to keep Labsynk available and offer offline working so facilities can carry on through network outages. We can't promise the service will always be available or free of errors, and some features depend on internet, phone and messaging networks we don't control. We may change or improve features, and will give notice of changes that significantly affect facilities. Any service levels are set out in the facility's agreement.

07Fees

Facilities pay the monthly fees in their plan or agreement for the modules they use. Fees, billing and payment terms are set out in the facility's agreement.

08Our software and content

Labsynk's software, design and content belong to Mudeer Technologies Ltd or its licensors. We give you a limited right to use Labsynk under these terms. Feedback you send us may be used to improve Labsynk.

09Liability

To the extent the law allows, Labsynk is provided as is, and we are not liable for indirect or consequential losses, or for clinical decisions made by facilities or professionals using Labsynk. Nothing in these terms limits liability that cannot be limited by law. Limits on liability for facilities are set out in the facility's agreement.

Specific caps and exclusions will be set out here after counsel review.

10Ending your use

You can stop using Labsynk at any time. Patients can close their app account from the app or by contacting us. Clinical records held by a facility may need to be kept for the period the law requires.

11Governing law

These terms are governed by the laws of [to be confirmed by counsel], and disputes will be handled by the courts of [to be confirmed by counsel], unless the law where you live gives you other rights.

12Changes and contact
